Pre-release Software Agreement
Applicability
This EULA applies to all freeware beta-test software (The Product) from ID-Bound (https://id-bound.com), including specifically:
TRIO browser-based, self-custodial Identity Wallet,
TRIO smartphone Identity Authenticator app.,
TRIO Data and Identity& Access Management -as-a-Service,
TRIO Web to Blockchain interface,
TRIO Utility Identity Tokens.
Scope of this Agreement
The Software-Product accompanying this Agreement as a pre-release copy and all affiliated materials, including documentation and information (collectively the "Product"), is copyrighted. Scope of this agreement is the licensing (not selling) of the "Product" to You, as the 'user' (either an individual or an entity). ID-Bound reserves all rights not expressly granted."
FREEWARE LICENSE
ID-Bound grants you a limited non-exclusive license to use the Product and its FREEWARE downloadable software .
We will respond to support requests if they relate to any SOFTWARE that is not performing its task correctly (bugs etc).
The Product is licensed to you under the terms and conditions of this Agreement. You represent and warrant that you will not violate any of the requirements of this Agreement and further represent and warrant that:
- You will not, and will not permit others to:
(i) reverse engineer, decompile, disassemble, derive the source code of, modify, or create derivative works from our Product, or
(ii) copy, distribute, publicly display, or publicly perform content contained in this Product other than as expressly authorized by this Agreement.
- You will not use the Product to engage in or allow others to engage in any illegal activity.
- You will not engage in using our Product that will interfere with or damage the operation of the services of any third parties by overburdening/disabling network resources through automated queries, excessive usage, or similar conduct.
- You will not sell our Product or charge others for use of it (either for profit or merely to recover your media and distribution costs) whether as a stand-alone product or as part of a compilation or anthology, without explicit prior written permission.
- You will not use our Product to engage in any activity that will violate the rights of third parties, including, without limitation, through the use, public display, public performance, reproduction, distribution, or modification of communications or materials that infringe copyrights, trademarks, publicity rights, privacy rights, other proprietary rights, or rights against defamation of third parties.
- You may not claim any sponsorship by, endorsement by, or affiliation with ID-Bound.
Eligibility and Enrollment
To enroll in the beta test you must identify yourself (KYC)
Incentives for beta-testers
Beta-testers will receive TRIO crypto-tokens on Ethereum Testnet:
Upon initial commercial release of the Product- TRIO utility tokens accumulated will be awarded on the Ethereum Mainnet.
Copyrights and Ownership
Ownership and Copyright of Software Title to the Software and all copies thereof remain with ID-Bound. The Software is copyrighted and is protected by copyright laws and international treaty provisions. Licensee will not remove copyright notices from the Software. Licensee agrees to prevent any unauthorized copying of the Software. Except as expressly provided herein, ID-Bound does not grant any express or implied right to you under ID-Bounds patents, copyrights, trademarks, or trade secret information.
License and Acceptable Use
You are entitled to access, download or install, and operate the Product solely to perform your obligations under this Agreement. You may not sell, license, or transfer the Product, or reproductions of the Product to other parties In any way.
Disclaimer of Liability and Warranties
Limitation on Liability Provision of any Software under this Agreement is experimental and shall not create any obligation for ID-Bound to continue to develop, productize, support, repair, offer for sale, or in any other way continue to provide or develop Software either to Licensee or to any other party. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT SHALL ID-Bound OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ID-Bound HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ID-Bound creates this document for educational and informational purposes only. The contents of this document are not a financial promotion. None of the information or analyses presented are intended to form the basis for any investment decision and no specific recommendations are intended. Therefore, none of the contents of this document serve as an invitation or inducement to engage in any sort of investment activity. This document is not intended to be a prospectus, solicitation, inducement, or offering for investment or the sale or issuance of securities or any interests or assets. The information in this document is given in good faith. Still, no warranties, guarantees, or representations are made by ID-Bound about the accuracy, completeness, or suitability of the information presented. ID-Bound expressly disclaims any responsibility, and Recipients expressly waive any claim, for any direct or consequential loss or damages of any kind whatsoever (whether foreseeable or not) arising directly or indirectly from (i) reliance on any information contained in this document or any information which is made available in connection with any further inquiries, (ii) any error, omission, or inaccuracy in any such information, (iii) any action resulting from that place or (iv) usage or acquisition of products. This disclaimer applies notwithstanding any negligence, default, or lack of care. ID-Bound may update, modify, or correct this document at its sole discretion, without notice or incurring any obligation or liability to any recipient hereof. This document is strictly confidential and intended to be viewed exclusively by those recipients (“Recipient/s”) specifically authorized by ID-Bound. This document shall not bind, convey any rights, obligations, terms, performance, covenants, representations or warranties on behalf of ID-Bound to Recipient, or create any relationship between ID-Bound and any Recipient or any other party.
Term and Termination
Unless otherwise terminated as specified under this Agreement. Licensee's rights to the Beta Software will terminate upon the earlier of (a) the initial commercial release by ID-Bound of a generally available version of the Product or (b) automatic expiration of the Beta Software based on the system date. Either party may terminate this Agreement at any time for any reason or no reason by providing the other party advance written notice thereof. ID-Bound shall immediately terminate this Agreement and any Licensee rights to the Beta Software without notice in the event of improper disclosure of ID-Bound's Product as specified under the Confidentiality clause. Upon any expiration or termination of this Agreement, the rights and licenses granted to Licensee under this Agreement shall immediately terminate, and Licensee shall immediately cease using and will return to ID-Bound (or, at ID-Bound's request, destroy), the Beta Software, Documentation, and all other tangible items in Licensee's possession or control that are proprietary to or contain Confidential Information.
Feedback
Beta Tester agrees to report any flaws, errors, or imperfections discovered in any software or other materials where Beta Tester has been granted access to the Beta Test. Beta Tester understands that prompt and accurate reporting is the purpose of the Beta Tests and undertakes to use best efforts to provide frequent reports on all aspects of the product both positive and negative and acknowledges that any improvements, modifications, and changes arising from or in connection with the Beta Testers contribution to the Product, remain or become the exclusive property of the ID-Bound.
Confidentiality and Non-Disclosure
The Beta-Tester will not disclose the Product and its Software or any comments regarding Software to any third party without the prior written approval of ID-Bound. The Tester will maintain the confidentiality of Software with at least the same degree of care that you use to protect your own confidential and proprietary information, but not less than a reasonable degree of care under the circumstances. The Tester will not be liable for the disclosure of any confidential information which is:
(a.) in the public domain other than by a breach of this Agreement on Tester's part; or (b.) rightfully received from a third party without any obligation of confidentiality, or (c.) rightfully known to Tester without any limitation on use or disclosure before its receipt from ID-Bound (d.) generally made available to third parties by ID-Bound without restriction on disclosure.
Support
During your participation in the Beta Program ID-Bound is not obligated to provide you with any maintenance, technical or other support for the Pre-Release Software. If at the ID-Bound option, such support is provided, you agree to abide by any support rules and policies that ID-Bound provides to you to receive such support. You acknowledge that ID-Bound has no express or implied obligation to announce or make available a commercial version of the Pre-Release Software to anyone in the future. Should a commercial version be made available, it may have features or functionality that are different from those found in the Pre-Release Software licensed hereunder.
Privacy Policy
ID-Bound Privacy Policy (available at https://www.id-bound.com/support/privacy) (Privacy Policy) applies to the Beta Program and the Beta Software. You acknowledge and agree that by participating in the Beta Program or by using the Beta Software, ID-Bound may receive certain information about you. including personally identifiable information. and you hereby consent to ID-Bound collection, use, and disclosure of such information following the Privacy Policy.
Modification.
This is the entire agreement between the parties relating to the subject matter hereof and all other terms are rejected. No waiver or modification of this Agreement shall be valid unless in writing signed by each party. The waiver of a breach of any term hereof shall in no way be construed as a waiver of any term or other breach hereof. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law the remaining provisions of this Agreement shall remain in full force and effect.
Severability
If any provision of this Agreement shall be found by a court to be void, invalid, or unenforceable, the same shall be reformed to comply with applicable law or stricken if not so conformable, so as not to affect the validity or enforceability of this Agreement.
Governing Law and Jurisdiction / Arbitration
This Agreement shall be governed by and construed under the laws of the State of Israel. Any legal action or proceeding arising under this Agreement will be brought exclusively in the courts located in Tel-Aviv, Israel, and the parties hereby consent to personal jurisdiction and venue therein.
